Jack V. Valinoti, Associate

Mr. Valinoti is an attorney with AMLG’s Petaluma, California office and is an experienced litigator with extensive, hands-on, practical experience in all phases of litigation, including investigation, initial pleadings, written discovery, depositions, motion practice and argument, trial, and appeals.  Mr. Valinoti joined AMLG in 2015 and has managed complex residential mortgage litigation matters on a national basis for AMLG’s mortgage banking clients.  In 2015 and 2016, Mr. Valinoti represented AMLG’s correspondent lending clients in Residential Funding Company and the ResCap Liquidating Trust’s complex Minnesota federal court action, and assisted AMLG’s clients in resolving those matters with RFC and ResCap.  Mr. Valinoti also has represented AMLG’s clients in other federal courts and routinely works with local counsel across the country to provide cost-effective representation to AMLG’s diverse, nationwide mortgage banking clients.  Mr. Valinoti recently obtained the dismissal of AMLG’s mortgage lending client from a Vermont federal court action in which plaintiff alleged that AMLG’s client aided and abetted the alleged “securitization fraud” allegedly committed by a trustee of a residential mortgage backed securitization. Mr. Valinoti worked on behalf of AMLG’s client and with the trustee to persuade the court that plaintiff’s complaint failed to state a cause of action against AMLG’s client because plaintiff had not and could not allege that AMLG’s client committed any illegal act for a legal purpose or any legal act for an illegal purpose, which was fatal to plaintiff’s quasi-conspiracy claim against AMLG’s client.  The court also dismissed plaintiff’s fraud claim because plaintiff had not and could not allege any misrepresentation by AMLG’s client upon which plaintiff justifiably relied which caused plaintiff any damage.

Mr. Valinoti represents AMLG’s clients at depositions, motion hearings, scheduling, case management, and settlement conferences, trials, mediations, and arbitrations.  He is adept at client counseling, formulating and implementing litigation strategy, discovery and motion practice, oral argument, and settlement negotiation.  Mr. Valinoti has assisted AMLG’s clients in resolving repurchase and indemnification demands and actions instituted by investors such as Citi, the FDIC, and Bank of America, and assists AMLG’s clients in managing and rebutting investors’ repurchase demands.  Mr. Valinoti also reviews and negotiates correspondent and warehouse lending and loan purchase agreements and seller guides that AMLG’s clients enter into with their partners and investors, and advises AMLG’s clients on the important representations and warranties, repurchase, indemnification, and remedies provisions of those agreements and guides.  Mr. Valinoti also assists AMLG’s clients in prosecuting and defending claims relating to the alleged theft and/or misappropriation of trade secrets, loan officers, client lists, and business relationships.

Mr. Valinoti was born and raised on Staten Island, New York.  He began his legal career working for well-established Wall Street law firms, where he gained experience in products liability as part of a team of attorneys defending a world-wide tobacco manufacturer, and in securities fraud litigation as part of a team of attorneys pursuing claims against Arthur Andersen on behalf of a branch of Her Majesty’s Government.  Mr. Valinoti also helped a former attorney for John Z. DeLorean successfully enforce an $8.5 million dollar judgment against Mr. DeLorean, which involved litigating claims regarding the fraudulent conveyance of and lien priority to what was then known as Lamington Farm and is now known as Trump National Golf Course.  While litigating on the East coast, Mr. Valinoti also successfully defended the officers and directors of a publicly traded insurance company against a private placement securities fraud claim.  After leaving his New York and New Jersey practices and moving to California in 2000, and before joining AMLG in 2015, Mr. Valinoti worked with a mid-sized San Francisco firm’s banking litigation clients and a small real estate and business litigation firm where he gained first chair jury and bench trial experience in title and real estate fraud matters.  Over the past 25 years of his combined practice in New York, New Jersey, and California, Mr. Valinoti has developed a broad state and federal, commercial litigation practice focusing on general business, contracts, fraud, real estate and real property, and unfair competition claims.

Mr. Valinoti received a B.A. in Economics from Bucknell University in 1986 and a J.D., cum laude, from New York Law School in 1991. Mr. Valinoti was an Articles Editor on the New York Law School Law Review and a member of the New York Law School Moot Court Board.  Mr. Valinoti also received the American Jurisprudence Award for Legal Writing II and the Justice William Kapelman Memorial Award for Excellence in Oral Argument while attending New York Law School.

Mr. Valinoti is licensed to practice law in California, New Jersey, and New York.  He is admitted to practice in the United States District Courts for the Eastern, Northern, and Southern Districts of California; the Northern District of California Bankruptcy Court; the District of New Jersey; and the Eastern and Southern Districts of New York.  Mr. Valinoti also is admitted to practice in the United States Court of Appeals for the Third and Ninth Circuits.
